Both the corporate form UG and the GmbH are considered as limited liability companies and are similar in many respects. Probably the most important difference for founders lies in the amount of the share capital.
Another difference is that 25 percent of the annual profit must be retained as a reserve. If this reserve reaches a minimum amount of €25,000, the UG can be converted into a GmbH.
